1. Introduction
These Terms of Service ("Terms") govern your use of the Trader Suite website and services, operated by Unique Evolution Ltd (company number 14243073), a company registered in England and Wales ("we", "us", "our").
By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
Our full company and contact details, including our registered office, are set out at the end of this document.
2. What we sell
We sell software — indicators, automated strategies and bundles that run inside the NinjaTrader 8 platform — together with an optional subscription that unlocks most of our catalogue, and a number of free market-information tools.
We do not manage money, hold client funds, execute trades, or operate an investment service of any kind. You keep your own brokerage account and you place your own trades.
3. Risk warning and regulatory status
Important — please read this before you buy
Trading futures and other leveraged financial instruments carries a substantial risk of loss and is not suitable for everyone. You can lose some or all of the money you put in. Past performance does not indicate future results, and no software can remove market risk.
- Only trade with money you can afford to lose.
- Test any tool in simulation before you risk real capital.
- Automated strategies carry additional risks, including technical failure, connectivity loss and unintended orders.
- Seek independent financial advice if you are unsure.
Unique Evolution Ltd is not authorised or regulated by the Financial Conduct Authority (FCA). We do not provide financial advice, investment advice, or personal recommendations to trade.
Nothing on our website, in our software, in our emails or in our support channels is a personal recommendation. All of our market information is general information published to everyone who subscribes to it, and none of it takes account of your circumstances, objectives or financial position.
4. Eligibility
To use our services, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using our services under the laws that apply to you
- Provide accurate and complete registration information
5. Your account
When you create an account, you agree to:
- Provide accurate, current and complete information
- Keep your login credentials secure and confidential
- Accept responsibility for activity carried out under your account
- Tell us promptly if you believe someone else has accessed it
We may suspend or close an account that breaches these Terms or is used fraudulently. Where we do, we will tell you why, and this does not affect any refund you are already entitled to.
6. Prices and payment
- All prices on this site are shown and charged in USD. If your card is denominated in another currency, your bank may apply its own conversion rate and charges, which we do not control and do not receive.
- The price shown at checkout is the total you pay. We are not currently VAT registered, so no VAT is added to our prices. You are responsible for any import, sales or local tax that your own country applies to a digital purchase.
- Payment is taken in full before we deliver a product or activate a licence.
- Payments are processed by Stripe. We never see or store your full card details.
- We may change our prices, but a change never affects an order you have already placed, or the price of a subscription during a period you have already paid for.
7. Subscriptions and cancelling
- Pro Membership renews automatically — monthly or yearly, depending on the plan you chose — until you cancel it.
- We take payment at the start of each period, using the payment method on your account.
- You can cancel at any time from your account settings. Cancelling stops the next payment; it does not end the period you have already paid for, and you keep access until that period runs out.
- Refunds for subscriptions are covered by our Refund Policy, which gives you 14 days to change your mind.
8. Your right to cancel, and refunds
14-day cancellation right
As a consumer you have a statutory right to cancel most online purchases within 14 days. For downloadable digital content that right normally ends once the download starts.
We go further than the law requires. We give you a full 14 days from purchase to change your mind for any reason at all — including after you have downloaded and used the software — and we will refund you in full. You do not have to give us a reason.
The full detail, including how to ask and what happens to your licence afterwards, is in our Refund Policy, which forms part of these Terms.
9. Licence to use the software
When you buy a product, or while your membership is active, we grant you a limited, non-exclusive, non-transferable, revocable licence to use that software for your own trading.
You may not:
- Copy, modify or distribute the software
- Reverse engineer, decompile or disassemble it
- Sublicense, rent, lease or lend it
- Resell or redistribute it commercially
- Remove or alter any proprietary notice
- Share your licence key or account credentials with anyone else
Our software checks its licence against our servers when it runs. Section 6 of our Privacy Policy explains exactly what that check sends and why.
10. What our software does and does not do
Our indicators and strategies are analysis and execution tools. Any figure they display — including scores, ratings, statistics and on-chart performance panels — is generated from historical chart data. It is not a track record, not a forecast, and not a promise about what will happen next.
Where a tool shows results calculated from past signals, those are hypothetical results. Hypothetical results have inherent limitations: the trades were never actually placed, so they do not account for slippage, fill quality, liquidity or the emotional reality of trading. No representation is made that any account will or is likely to achieve similar results.
11. Availability and third parties
We work hard to keep the site and our licence servers running, but we do not promise they will be uninterrupted or error-free. We may change, suspend or withdraw a product or feature; where that materially affects something you have paid for, we will tell you and offer a fair remedy.
Our software depends on third parties we do not control — the NinjaTrader platform, your broker, your market-data provider and your internet connection. We are not responsible for their failures.
NinjaTrader® and Kinetick® are registered trademarks of NinjaTrader, LLC. We are an independent company and an approved NinjaTrader Ecosystem Vendor. Our products are not made, endorsed or sponsored by NinjaTrader or Kinetick.
12. Intellectual property
All intellectual property rights in our services — software, trademarks, content and documentation — remain ours or our licensors'. Nothing in these Terms transfers any of them to you.
13. Our liability to you
To the fullest extent the law allows:
- We are not liable for trading losses, lost profits or lost opportunity arising from your use of our software or our market information.
- We are not liable for indirect or consequential loss.
- Our total liability to you is limited to the amount you paid us for the product or service the claim relates to.
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited. If you are a consumer, nothing in these Terms affects your statutory rights.
14. Acceptable use
You agree not to:
- Use our services for any unlawful purpose
- Attempt to gain unauthorised access to our systems
- Interfere with or disrupt our services
- Upload malicious code
- Impersonate any person or entity
15. Complaints
If something has gone wrong, please tell us first — most problems are quickest to fix directly. Email support@tradersuite.online with your order number and what happened. We aim to acknowledge within 2 business days and to resolve within 14 days.
If you are not satisfied with our response, you can seek help from Citizens Advice or your local Trading Standards service.
16. Your consumer rights
If you are a consumer you have statutory rights under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Digital content we supply must be of satisfactory quality, fit for purpose and as described. Nothing in these Terms affects those rights.
17. Changes to these Terms
We may update these Terms. When we make a material change we will update the revision date at the top of this document and tell registered customers by email or by a notice on the site before the change takes effect. Changes are not retrospective — the version in force when you bought continues to govern that purchase.
18. General
If any provision of these Terms is found to be invalid, the rest continues in force. These Terms, together with our Privacy Policy, Refund Policy and Cookie Policy, are the entire agreement between us.
These Terms are governed by the laws of England and Wales. If you are a consumer, you may bring proceedings in the courts of the UK country you live in; nothing here removes that right.
